U. S. NAVAL ACADEMY PARENTS’ CLUB OF MICHIGAN

BY-LAWS

Article I
Name

The name of this organization shall be the U.S. Naval Academy Parents' Club of Michigan.

Article II
Purpose

The purpose of the organization is to provide information and support to U. S. Naval Academy appointees, midshipmen, graduates, and their parents and/or guardians.

The Club will not engage in any political or lobbying activities.

Article III
Membership

Section 1: Regular Membership (with voting rights) is open to any parent or guardian of a U. S. Naval Academy Michigan appointee/midshipman, in one of the four current classes plus the incoming class, or student enrolled at a U.S. Naval Academy Preparatory School.   After the midshipman graduates or separates, the Regular Member (with voting rights) is changed to an Associate Member (no voting rights).

Section 2: Alumni Membership (no voting rights) is open to any parent or guardian of a U. S. Naval Academy graduate from the State of Michigan or any resident of the state of Michigan who is the parent or guardian of a U. S. Naval Academy graduate.

Section 3: Associate Membership (no voting rights) may be made available to any other interested person.

Section 4: Life Membership (with voting rights) is open to any parent or guardian of a U. S. Naval Academy Michigan appointee/midshipman, in one of the four current classes plus the incoming class, or student enrolled at a U.S. Naval Academy Preparatory School.   Two years after the midshipman graduates or separates, the Life Member (with voting rights) is changed to an Associate Member (no voting rights).

Section 5: Membership in good standing may be maintained only by payment of dues levied by the Club.

Article IV
Officers

Section 1: The officers of the Club shall be the President, Vice-President, Secretary and Treasurer.

Section 2: Office holders may be either individual members or a husband-wife team.

Section 3: Only Regular Members in good standing shall be eligible to serve as officers of the Club.

Section 4: The term of office for each office holder shall be one year and begin immediately after the annual Spring election meeting.

Section 5: The President shall preside at all meetings of the Club and shall have such powers and duties usually associated with the office of president.

Section 6: The Vice-President shall succeed to the presidency in case of a vacancy in that office; shall perform the duties of the President in his or her absence; and shall carry out such other duties as may be directed either by the President or Board of Directors.

Section 7: The Secretary shall keep a record of the proceedings of meetings and shall be responsible for and conduct such correspondence as shall be directed either by the President or Board of Directors.

Section 8: The Treasurer shall be responsible for the collection of dues and shall keep an accurate and complete account of all funds received and disbursed.

Section 9: The officers shall meet before the first Club meeting following their election for the purpose of appointing three members to be class representatives, one for each of the three upper classes at the U. S. Naval Academy for the Fall semester of that year, and one member to be an alumni representative.  The fourth class representative shall be appointed by the officers by September lst of each year Class representatives and the alumni representative may be either individual members or a husband-wife team.

Section 10: It is preferred that the President of the Club be the parent of a Midshipman First Class.

Article V
Board of Directors

Section 1: The Board of Directors shall consist of the officers; the immediate past-president; class representatives; and an alumni representative.  There may be an appointment by the Board of Directors of one Blue and Gold officer from each of the East and West regions of the state that shall be recommended by the Coordinator of Blue and Gold Officers.  The Blue and Gold Officers shall be requested to serve in the capacity of "Advisor to the Board".  All shall serve until the end of the next annual Spring election meeting.

Section 2: The Board of Directors shall direct and administer the affairs of the Club between meetings of the Club except as otherwise provided in the by-laws.

Section 3: Meetings of the Board of Directors may be held at the call of the President or any three members of the Board.

Section 4: Should the President become ineligible or resign, the Vice-President shall assume the title and duties of the President.  Should any other vacancy occur, the Board shall appoint an eligible member to fill the unexpired term for such vacancy.

Section 5: Any individual appointed to the Board of directors in the capacity of "Advisor to the Board" shall not be permitted to vote on motions placed before the Board of Directors but may participate in all other matters of the Board of Directors.

Article VI
Meetings

Regular meetings of the Club shall be held at a place to be determined by the Board.  Special meetings of the Club may be called by the President, the Board, or upon the written request of ten members.

Article VII
Elections

Section l: The officers shall be elected for a term of one year by a majority of those Regular Members voting at the annual Spring election meeting or by mail-in (regular US Postal Service) or electronic ballot if deemed necessary by the Board.  An electronic ballot will be sent to Life Members for a period of two years after their midshipman graduates or separates and to all voting Members in good standing for which we have a current e-mail address.

Section 2: Nominations to elective office shall be made by at least three Regular Members in good standing who shall be appointed by the Board at least one month prior to the annual Spring election meeting and these members shall constitute the Nominating Committee.

Section 3: Any Regular Member in good standing may nominate from the floor at the annual Spring election meeting.

Article VIII
Standing Committees

Section l: All committee positions shall run co-terminously with that of the president.

Section 2: Chairpersons for the following standing committees shall be appointed as necessary by the president:

·         Academy Liaison

·         All Academy Ball Committee Liaison

·         Directory

·         Hospitality

·         Logistics

·         Membership

·         Mid Support

·         Name Badges

·         Plebe Pamphlet

·         Website Administrator

Article IX
Dues

Section 1: Dues for Regular, Alumni and Associate membership shall be voted upon each year by the membership at the annual Spring election meeting.

Section 2: Annual dues shall be payable in June of each year.

Article X
Publications

A Club Plebe Informational Pamphlet shall be published.

Article XI
Rules of Order

Meetings of the Club shall be conducted in an informal manner unless a motion is passed by a majority vote of those Regular Members voting to conduct the meeting under Parliamentary authority.  In such cases, Robert's Rules of Order, Newly Revised, shall govern the conduct of business for that meeting only.

Article XII
Amendments

These by-laws may be amended without previous notice by a two-thirds vote of those Regular Members voting at any meeting of the Club, provided that no change in the by-laws shall take effect until thirty days following an affirmative vote to change them has been made.

Article XIII
Dissolution

In the event of dissolution, all assets remaining after meeting all liabilities shall be distributed to the U. S Naval Academy, Midshipman Welfare Fund at the U. S. Naval Academy, Annapolis, Maryland.
