Articles of Incorporation


We, the undersigned natural persons, citizens of Texas, who are of the age of twenty-one (21) years or more, acting as incorporators of a corporation under the Texas Non-Profit Corporation Act, do hereby adopt the following Articles of Incorporation for such corporation:
ARTICLE 1. NAME
The name of the Corporation shall be the Alamo Chapter, United States Naval Academy Alumni Association. It will be organized and operated in accordance with the Texas Non-Profit Act and the By-Laws, as amended, of its predecessor, United States Naval Academy Alumni Association, South Texas Chapter. Hereinafter it shall be referred to as the Chapter.
ARTICLE 2. PURPOSE AND OBJECTIVES
Section 2.1 – The Chapter is a non-profit corporation, and is organized and operated pursuant to the Texas Non-Profit Corporation Act. It does not contemplate pecuniary gain or profit to the members thereof and is organized for non-profit purposes.

Section 2.2 – The Chapter is dedicated to furthering the principles and welfare of the United States Naval Academy, Annapolis, Maryland. In accomplishing its purpose, this Chapter endeavors to serve its community and country.

Section 2.3 – The Chapter is organized and operated to foster the interests of our Country, the Naval Service, the U.S. Naval Academy, and the United States Armed Forces.

Section 2.4 – The Chapter seeks to perpetuate the friendships and associations formed by the members through their common experience and interest in the U.S. Naval Academy, the Naval Service, and the other U.S. Armed Forces and to promote fraternal feeling among the Naval Academy alumni, and other members of the Chapter.

Section 2.5 – The Chapter desires to educate the public, and the families of young men and women, about the opportunities for education and public service which are available through entrance to the United States Naval Academy for those who desire to pursue a military career.

Section 2.6 – The Chapter seeks to promote a greater public awareness of the importance of the Naval and maritime interests of our Country, and the role of the Armed Forces of the United States.
ARTICLE 3. TERM AND DISSOLUTION
Section 3.1 – The Chapter shall have perpetual existence, unless sooner dissolved pursuant to this section of the Article of Incorporation.

Section 3.2 – The Chapter may be dissolved by:
(1) A vote of more than two-thirds of the quorum, defined under Article VII in the by-laws, at a meeting duly called for dissolution of the Chapter.

(2) A vote of three-fourths of the Board, with a vote of a majority of eligible voting members present at a meeting duly called for the dissolution of the Chapter.

Section 3.3 – Pursuant to the Texas Non-Profit Corporation Act, in the unlikely event of dissolution, any funds or property remaining, after payment of creditors, shall be offered by the Board to the United States Naval Academy Alumni Association, a non-profit organization, as a donation to the endowment fund. The United States Naval Academy Alumni Association is a domestic organization that is engaged in activities substantially similar to those of the dissolving corporation.
ARTICLE 4. INITIAL REGISTERED OFFICE AND AGENT
The address of the initial registered office of the Corporation is: Alamo Chapter, United States Naval Academy Alumni Association, 131 Sheila Drive, San Antonio, Texas, 78209. The name of its initial registered agent at such address is William F. Due, Jr. The initial mailing address of the Corporation is: Alamo Chapter, USNAAA, P.O. Box 461564, San Antonio, Texas, 78246-1564
ARTICLE 5. BOARD OF DIRECTORS
Section 5.1 – The Chapter shall be governed and managed by an executive body known as the Board of Directors (formerly Council) composed of not less than seven (7) regular members, and additional regular members as may be allowed by amendments to the by-laws. The Board will be organized and operated as described in the Chapter’s By-Laws.

Section 5.2 – LIMIT OF PERSONAL LIABILITY – A member of the Board of Directors of the Alamo Chapter, United States Naval Academy Alumni Association (USNAAA) shall not be liable to the Chapter or its members for monetary damages for an act of omission when such act occurred in good faith while performing the duties and responsibilities of the office held as a member of the Board of Directors.

Section 5.3 – The names and addresses of the persons who are to serve as the initial Directors are:

Alan L. Swanton , 472 Emerald Point, Schertz, Texas, 78154 Section 5.4 – DUES – Under the direction of the Board of Directors the dues as stipulated in the By-Laws, and any other income, shall be used to defray the expenses made necessary in the proper conduct of the affairs of the Chapter.

ARTICLE 7. EFFECTIVE DATE OF FILING
This document will become effective when the document is filed by the secretary of state.
ARTICLE 8. EXECUTION
The undersigned incorporators sign these articles of incorporation subject to the penalties imposed by law for the submission of a false or fraudulent document.
